Terms of Use – Motakalim

Welcome to Motakalim (“Motakalim”, “we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of our websites (motakalim.com), applications (including app.motakalim.com), and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Eligibility & Accounts

You must be at least 13 years old (or the minimum age in your country) to use the Services. When you create an account, you must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.

3) Plans & Billing

We currently offer three plans:

A) Trial — Free

Limited access for evaluation purposes.
May include demo credentials, sample content, and feature limits.
We may change or end Trial access at any time.

B) Monthly Subscription — $15/month

Recurring subscription billed monthly until canceled.
Includes full cloud-hosted access to Motakalim features subject to fair-use limits and technical rate-limits.
Cancel anytime to avoid future renewal charges. Access continues until the end of the paid period; fees are non-refundable except where required by law.

C) Use It In Your Drive — Lifetime $20 one-time

A license to use Motakalim with your own Google account resources (e.g., Drive/Cloud free-tier quotas) as described in our docs.
One-time payment, non-recurring.
License is personal, non-transferable, and typically bound to one Google account (see Section 7).
You control your data location and quotas; we do not guarantee Google free-tier availability.
Some cloud-hosted features may differ or be unavailable in this plan.

Taxes & Price Changes. Prices are shown in USD and exclude taxes unless stated. We may change prices/provide promotional offers with notice for future billing cycles. Where required by law, taxes will be added.

Payment Processors. Payments are handled by third-party processors (e.g., Stripe, Gumroad). Your purchase is also subject to their terms.

4) Fair Use & Technical Limits

To protect service quality, we may apply reasonable use and technical limits (e.g., message/voice minute caps, rate-limits, concurrency). Excessive or automated usage that degrades service for others may be throttled or suspended.

5) AI & Voice Features (Important Disclaimers)

No professional advice. AI outputs are generated content and may be inaccurate. The Services do not provide medical, legal, financial, or other professional advice.
Review required. You are responsible for reviewing outputs before relying on them.
Voice permissions. You control microphone access in your device/browser.
Model providers. Conversation data may be processed by AI/speech providers under our configuration; see Privacy Policy.

6) Acceptable Use

You agree not to:

break laws or infringe others’ rights;
upload illegal, harmful, or abusive content (including harassment, hate, sexual content involving minors, or malware);
attempt to reverse-engineer, scrape, or bypass security;
use the Services to build competing models or datasets without written permission;
share your account or resell access (unless we agree in writing).

We may remove content or suspend accounts that violate these Terms.

7) License & Intellectual Property

A) Our License to You

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms and your plan.

B) “Use It In Your Drive” License

For the lifetime plan, we grant a perpetual (for the life of the product), non-exclusive, non-transferable license to run Motakalim with your own Google account subject to:

one Google account binding (unless otherwise permitted in writing);
your compliance with Google terms and quotas;
no resale, redistribution, or sublicensing of our software, keys, or configuration;
updates provided at our discretion (some updates may be paid if we introduce major new products).

If you breach this license, we may revoke access to updates, keys, or documentation.

C) Your Content

You retain ownership of content you submit. You grant us a worldwide license to host, process, and display your content solely to provide and improve the Services. For the Use It In Your Drive plan, your content may remain in your Google account—see the Privacy Policy for details.

D) Feedback

If you send ideas or suggestions, you grant us a free right to use them without restriction or compensation.

8) Third-Party Services

The Services may integrate with third parties (e.g., Google, Stripe, Gumroad). Your use of those services is governed by their terms and policies. We are not responsible for their actions or availability.

9) Service Availability & Changes

We may add, modify, or remove features, or suspend the Services (e.g., for maintenance, security, or legal reasons). For Monthly subscribers, material changes will be communicated with reasonable notice where feasible. For the Use It In Your Drive plan, some changes may require you to update your configuration.

10) Refunds, Renewals, and Cancellations

Trial: free; no charges.
Monthly: renews automatically each month until canceled; cancellation stops future renewals and access continues until the end of the term; fees are non-refundable except where required by law.
Use It In Your Drive (Lifetime): one-time, non-refundable except where required by law. This fee covers license and documentation; cloud hosting is not included.

How to cancel: follow the instructions in your account or via our payment processor (e.g., “Manage Subscription” link). If you need help, contact [contact email].

11) Data; Privacy; Security

Your use is subject to our Privacy Policy. You are responsible for safeguarding your credentials and for securing your devices, browsers, and any self-hosted environment (especially in Use It In Your Drive).

For Use It In Your Drive, you are responsible for:

managing OAuth scopes/consents and revoking access when needed;
storage, retention, and sharing inside your Google account;
respecting Google quotas and costs.

12) Intellectual Property Claims (DMCA)

If you believe content infringes your copyright, send a notice to [DMCA email] with: (a) your contact info, (b) identification of the work and the allegedly infringing material (URL), (c) a statement under penalty of perjury of your good-faith belief, and (d) your signature. We may remove content and, if appropriate, terminate repeat infringers.

13) Termination

You may stop using the Services at any time. We may suspend or terminate access immediately if you breach these Terms, pose a security risk, or if required by law. Upon termination, licenses granted to you end, except that any Use It In Your Drive license you already downloaded may continue subject to these Terms (including restrictions) and any keys/update access we control may be revoked.

14) Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR MEET YOUR NEEDS.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTAKALIM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THAT PERIOD (OR USD $20 IF YOU ONLY USED THE LIFETIME PLAN).

Some jurisdictions do not allow certain exclusions or limitations; some of the above may not apply to you.

16) Indemnification

You agree to defend, indemnify, and hold harmless Motakalim from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your content, your use of the Services, or your violation of these Terms or applicable law.

17) Governing Law & Disputes

These Terms are governed by the laws of [jurisdiction], without regard to conflict-of-laws rules. Courts located in [venue] shall have exclusive jurisdiction, unless your local law requires otherwise. Before filing a claim, you agree to first attempt to resolve disputes informally by emailing [contact email].

18) Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., email or in-app). The “Last updated” date shows the latest version. Continued use after changes means you accept the updated Terms.

19) Miscellaneous

Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us.
Severability. If any part is unenforceable, the rest remains in effect.
Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset transfer.
No Waiver. Failure to enforce a provision is not a waiver.
